Legal Terms and Conditions for International Customers
These international Terms and Conditions apply to purchases made from Next Edge Surgical LLC (“Next Edge Surgical LLC,” “Next Edge,” “we,” “us,” or “our”) by customers located outside the U.S. They are intended to establish the conditions that apply particularly to cross-border transactions.
By submitting an international order, the customer (“Customer,” “you,” or “your”) confirms that they have successfully reviewed and accepted these terms.
International Sales
Next Edge Surgical LLC offers a wide range of surgical, dental, dermatology, ophthalmic, medical, hospital, and laboratory products. Saleability and product availability may vary by destination because specific products can be subject to import controls, local registration, transportation requirements, or professional-use restrictions.
An order is accepted only when confirmed by Next Edge Surgical LLC. We might decline an order if the requested item can’t be lawfully exported from the United States, transported by an available carrier, or imported into the destination country.

Quotations and Currency
International invoices and quotations are issued in U.S. dollars (USD) unless another currency is agreed upon in writing specifically.
A quotation represents the pricing available at the time it is issued and may have a restricted validity period.

International Payment
Payment arrangements for international purchases will be stated in the applicable invoice, quotation, or order confirmation.

Unless credit terms have been approved expressly in writing, Next Edge Surgical LLC may require payment to be cleared before an order is released for export.

Importation Is the Customer’s Responsibility
The Customer is the importer of record unless the parties expressly agree otherwise.
Before ordering, customers must confirm that the selected products can be imported legally and used in their country. This may involve obtaining permits, registrations, customs documentation, licenses, or approval from a healthcare or regulatory authority.
Next Edge Surgical LLC isn’t responsible for getting destination-country approvals on behalf of the Customer unless this responsibility has been expressly accepted in writing.
Any customs duty, GST, VAT, import tax, tariff, clearance charge, brokerage fee, or similar assessment imposed after shipment is the Customer’s responsibility.
Export Restrictions and Product Eligibility
A displayed product on the Next Edge Surgical LLC website doesn’t necessarily mean that it can be easily exported to every country.
We may refuse or restrict an order where applicable U.S. export controls, manufacturer restrictions, sanctions, carrier rules, or destination-country requirements prevent shipment.
The Customer must provide the correct destination and end-user, as well as business information, whenever requested. Incomplete, misleading, or false information may result in order cancellation.

Shipping Arrangements
International shipments will be arranged using a shipping method agreed upon or selected for the order.

Freight charges will depend on the destination, dimensions, weight, product characteristics, and service selected. Any special packaging, documentation, inspection, or handling requested by the Customer may result in additional charges.
Shipping estimates are provided for planning purposes only. Customs processing and international transportation can affect delivery times, and Next Edge Surgical LLC does not guarantee a particular arrival date unless expressly agreed in writing.
Special-Handling Products
Some healthcare products require conditions that differ from ordinary commercial shipments. Products may be subject to limitations due to their sterility, composition, batteries, chemicals, temperature requirements, or other transportation considerations.

Customers purchasing equipment for use outside the U.S. must verify that the equipment is compatible with technical and electrical standards.
This includes frequency, voltage, power requirements, installation requirements, accessories, and plug configuration, as well as any applicable local certifications.

The Customer is responsible for confirming compatibility before purchase where the product specifications aren’t stated expressly for the destination market.
Inspection and Delivery Issues
Customers need to inspect shipments right after delivery.
If an order arrives visibly incomplete, damaged, or materially different from the confirmed order, the Customer has to notify Next Edge Surgical LLC as soon as possible and provide packaging information, photographs, and, when requested, relevant order details.
International Returns
International returns must be authorized by Next Edge Surgical LLC before the product is shipped back.

Eligible merchandise should be returned in the packaging and condition required by the applicable return instructions. Generally, the return freight is the Customer’s responsibility unless the return results from an error attributable to Next Edge Surgical LLC.
Import taxes, brokerage charges, customs duties, and other fees already paid in connection with an international shipment might not be recoverable.
Customized, used, opened, special-order, contaminated, damaged, or otherwise restricted merchandise may not qualify for return.

Manufacturer Warranties
Where a product carries the warranty of the manufacturer, the applicable warranty terms govern the available coverage.
International customers must understand that manufacturer warranty service, repairs, replacement parts, or technical support may differ by country. Next Edge Surgical LLC doesn’t guarantee that a manufacturer’s U.S. service program or warranty will be available in every destination.

Resale and Professional Distribution
Unless authorized in writing specifically, an international purchase doesn’t establish a distributorship, agency, dealership, or other representative relationship with Next Edge Surgical LLC.
Customers who intend to distribute or resell products must obtain written approval where needed and remain responsible for complying with the laws governing resale in their market.

Risk, Liability and Disputes
The allocation of shipping risk and responsibility will follow the delivery terms stated in the order confirmation and applicable quotation.

Changes to These Terms
Next Edge Surgical LLC might revise these International Terms when business practices, shipping arrangements, legal requirements, or products change. The version applicable when an order is accepted will typically govern that transaction unless a separate written agreement states otherwise.
